These terms apply to all quotes, assignments and services of Liuma Digital.

In these terms, "Liuma Digital" means the contractor, a company registered in the Netherlands, listed with the Chamber of Commerce under number 76795578. "Client" means the customer who places an assignment. "Services" means all work, such as designing and building websites, refreshing websites, and maintenance and hosting.
These terms apply to all quotes, agreements and services of Liuma Digital, unless agreed otherwise in writing. Deviations only apply if confirmed in writing.
Quotes are without obligation and valid for thirty days, unless stated otherwise. A quote contains a fixed price for the described work. Work outside the quote is discussed in advance and charged separately.
All prices are in euros and excluding VAT, unless stated otherwise. Third-party costs fall outside the price and are for the client. This includes the registration and annual renewal of a domain name and subscriptions to external platforms that are not included in the maintenance plan. One-off costs for creating or transferring a domain name are agreed with you in advance.
If you would like to meet on location, we charge a travel allowance of 0.25 euro per kilometre. We agree this with you in advance.
Liuma Digital carries out the assignment to the best of its knowledge and skill. The client ensures that all required texts, photos and information are delivered on time. A stated delivery date is a target date and not a hard deadline, unless explicitly agreed.
Maintenance and hosting (the maintenance plan) are provided for 50 euro per month, excluding VAT. The plan includes:
The maintenance plan is only available to clients whose website was built or refreshed by Liuma Digital. The first month is free when the plan is taken out for the first time, so only for new clients. The plan has a minimum term of six months.
After this minimum term, the plan is automatically renewed each time (tacit renewal) and is cancellable monthly, at the end of the calendar month. A cancellation must reach us before the end of the current calendar month; if we receive it later, the plan continues for one more calendar month. If you cancel the plan and take it out again later, the minimum term of six months applies again and the free month no longer applies. On termination the maintenance ends and the client can transfer the website to another party. If the client has no maintenance plan, the client arranges hosting themselves.
For a website to function, the client depends on external platforms and services, such as the hosting provider (Netlify) and the party where the domain name is registered. Liuma Digital is not responsible for outages, downtime or price changes of these external parties.
Any subscription and domain costs of these external parties fall outside the prices of Liuma Digital and are paid by the client, unless explicitly agreed otherwise.
For an assignment we ask for a deposit at the start. The remaining amount is paid on delivery of the website. Invoices are paid within fourteen days of the invoice date, unless agreed otherwise. In case of late payment, statutory interest and any collection costs may be charged.
The copyright and other intellectual property rights in the designs, the code and any bespoke elements and templates remain with Liuma Digital. After full payment, the client receives a licence to use the end product for their own business purposes.
The client is not allowed to resell, copy or distribute designs, bespoke work or underlying templates to third parties without the express written permission of Liuma Digital.
The domain name is registered in the client's name. Texts, photos and other materials supplied by the client remain the client's property. After full payment, the client can continue to use the website, even if the maintenance is later ended. Liuma Digital may show the work as an example in its own portfolio, unless agreed otherwise.
Liuma Digital delivers bespoke work and services to entrepreneurs, that is, business clients. The statutory right of withdrawal for consumers does not apply. With digital delivery, or once the work has started, any right of withdrawal lapses.
Liuma Digital is not liable for indirect damage, such as loss of revenue. Liability is in all cases limited to the amount charged for the relevant assignment. Liuma Digital is not responsible for content the client supplies themselves.
In case of force majeure, such as outages at third parties or illness, the work may be suspended without this giving a right to compensation. We inform the client as soon as possible.
If an assignment is cancelled after the work has started, the work already carried out is charged.
Dutch law applies exclusively to all quotes, agreements and services of Liuma Digital. Disputes are submitted exclusively to the competent court in the district where Liuma Digital is established.
